Summary :
The purpose of the Kress Partnership Program (“KPP”) Policy is for Positec
Commercial, Inc. (the “Company”) to provide all entities who enter into the Kress
Dealer Sales and Services Agreement (“Kress Dealer(s)”) with Kress-brand
outdoor power equipment (“Kress Products”) on a consignment basis. Using the
consignment model provides Kress Dealers the opportunity to represent and sell
Kress Products without investing a significant amount of upfront capital.
Under this arrangement, the Company retains ownership of consignment
product(s) until the consignee, the Kress Dealer, sells the products to the enduser Customer (the “Customer(s)”). The following are the policies and procedures
to be followed with consignment products provided as part of the KPP program.
Policy
How does the Kress Partnership Program work?
1. The Kress Products shall be shipped to Dealer’s address as stated on the
Dealer Sales and Services Agreement on Consignment. As such, the
Company shall control the price at which the Products are sold to
Customers. Dealer shall not, in its dealings with Customers, deviate from the
price of the Products as set by the Company.
2. All Kress products that are shipped and consigned to Dealer shall remain the
property of the Company until they are sold by Dealer to the Customer, at
which time ownership shall pass from the Company to the Dealer and then
immediately to the Customer.
3. From the time that Dealer receives possession of the Kress Products, Dealer
shall be responsible for the payment of all expenses related to its
possession, including storage, insurance, sales, and delivery expenses.
4. All Kress Products in the Dealer’s possession shall, at all times, be subject
to the Company’s direction and control. Upon the Company’s request,
Dealer shall return any unsold Kress Products to the Company or elsewhere
at the direction of the Company.
