Summary
Positec Commercial, Inc. (the “Company”) provides Dealers with products such as
parts and accessories on a non-consignment basis (the NonConsignment Products”), providing Dealers the opportunity to purchase repair
parts and accessories for resale to their customers. The Company passes
ownership of non-Consignment products upon final payment of
goods.
Policy
1. The Non-Consignment Products shall be shipped to Dealer’s address as
indicated on the Dealer Sales and Services Agreement and invoiced for
payment upon shipment.
2. From the time Dealer receives possession of non-consignment products,
Dealer shall be responsible for paying all expenses related to its possession,
including storage, insurance, sales, and delivery expenses.
3. Dealer shall be responsible for collecting all required taxes (including sales
tax) arising from the sale of Non-Consignment Products to the Customer
and for remitting such amounts to the appropriate governmental agencies.
4. Dealer shall pay all invoices, less applicable programs, to the Company
based on the invoice amount and due date.
5. Dealer’s commission varies by Kress product model and is provided in
Company’s most recent Kress Dealer Accessory Pricing Structure Sales
Bulletin.
Inventory and Stocking
1. Dealers are provided a recommended initial stocking order based upon
the mix of Kress products under consignment and NonConsignment Products identified for the Dealer. The Dealer and the
Company will review and confirm an initial stocking order. This order will
need to be submitted to Company by the BDM.
2. New Orders for Non-Consignment Products must be completed by the
Dealer via the Dealer Portal.
