Summary:
The purpose of the Dealer Policy Manual (“DPM”) is to provide detailed policies
and procedures for Kress Dealers to successfully represent the Kress products.
Each DPM Policy will be notated with the Title followed by the policy number. The
policies are incorporated into the Dealer Sales and Service Agreement and may
reference sections of the Dealer Sales and Service Agreement.
Definitions:
1. Company - Positec Commercial, Inc. party to the Dealer Sales and Service
Agreement.
2. Kress Brand – Brand of outdoor power equipment owned by Positec
Commercial, Inc.
3. Dealer - Entity that entered into the Dealer Sales and Service Agreement
(“DSSA”) with Company to represent Kress Brand products.
4. Customer - retail purchasers or end-users who take ownership of products
sold by Company through Dealer.
5. Dealer Portal – The online system provided for Dealer to transact business
with Company. References to Dealer Portal in this DPM are supported by
Dealer Portal training material that is provided to Dealer by Company.
6. BDM – An acronym for “Business Development Manager,” the primary
Company representative with whom Dealer interacts.
7. RSM - An acronym for "Regional Sales Manager,” the secondary Company
representative with whom Dealer interacts.
8. Annual Business Plan – Document outlining plans for the year agreed upon
between Company and Dealer. This is an activity that Dealer completes with
their assigned BDM.
9. KPP – An acronym for Kress Partnership Program, the Program under which
Company provides Dealers with Kress Brand products on a consignment
basis.
10. Transfer – Process for KPP products to be moved from Dealer’s inventory
into the Company’s inventory to either be returned to the company or moved
to another dealer. This would include the process to move product between
dealer locations within the same dealer organization.
